Senior Associate for Corporate Practice highlighted the following features of corporate disputes:
Subject composition. The legal entity itself, over which a corporate dispute arises, has a special status. At the same time, a corporate dispute affects the interests of many persons: participants, shareholders, members of a legal entity, employees, creditors;
Increased level of complexity of legal structures. The fact is that a corporate dispute can be only a small part of a large corporate conflict, while a solution to a corporate dispute will not end the entire corporate conflict;
A large number of dispositive norms. Features of legal regulation of a legal entity that has a corporate dispute can be established by local acts. Assessment of the compliance of the content of local acts with the law lies with the court;
Certain procedural features: additional requirements are imposed on the statement of claim (Art. 225.3 of the APC); the court and other persons have informational duties (Art. 225.4 of the APC); other rules of reconciliation of the parties apply (Art. 225.5 of the APC), the imposition of interim measures (Art. 225.6 of the APC) and sanctions for non-performance of procedural obligations (Art. 119, 225.4, 225.6 of the APC).
