On July 01, 2021, the Federal Law entered into force, which amends Part one of the Civil Code of the Russian Federation, namely, the regulation of the procedure for making decisions by the general meeting of companies.
The term "meeting" has been replaced by "meetings", that is, now the decision of the meeting can be made with a meeting (in-person voting) or without a meeting (absentee voting). Members of the company may participate in the meeting remotely using electronic or other technical means, if any methods are used to reliably identify the person taking part in the meeting, participate in the discussion of issues on the agenda and vote. Such a possibility and methods may be established by law, by a unanimous decision of the participants or by the charter. While absentee voting without holding a meeting is carried out by sending, including by electronic or other technical means, documents containing information about voting, and the decision on such voting is taken by at least 50% of the total number of participants. The law, the unanimous decision of the participants or the charter may provide for the combination of voting at the meeting and absentee voting, that is, in-person and absentee meetings.
The minutes will not confirm the adoption of decisions, but the holding of the meeting and the results of voting at the meeting (as well as the results of absentee voting). The protocol itself can be drawn up, including with the help of electronic or other technical means. The Civil Code of the Russian Federation, the law, the charter or the unanimous decision of the participants may provide for another way to confirm the holding of a meeting of the participants of the civil law community and the results of voting at the meeting, as well as the results of absentee voting. In case of absentee voting, the requirement is established that the protocol is signed by the persons who carried out the counting of votes or recorded the result of the counting of votes.
