From 26 April the list of information that must be contained in the Unified State Register of Legal Entities is changed. These changes are provided for by the Federal Law of 27 October 2020 No. 350-FZ "On Amendments to Article 5 of the Federal Law on State Registration of Legal Entities and Individual Entrepreneurs".
According to this law, information about the sole shareholder of the JSC will now also be published in the Unified State Register of Legal Entities. The consequence of this innovation will be that when making transactions with shares, which may entail the need to change the information about the sole shareholder in the Unified State Register of Legal Entities, it will be necessary not only to make entries on the transfer of rights to shares in the register of shareholders or a depository, but also to submit an application to the tax office on making appropriate changes to the Unified State Register of Legal Entities. The term for providing information is within seven working days from the date of the change in information.
In addition, a legal entity is no longer required to notify the registering authority about a change in the name of an organization that:
is the founder or participant of such a legal entity;
has the right to act on behalf of such a legal entity without a power of attorney;
acts as the holder of the register of shareholders of such a legal entity.
The registering authority independently changes the name of such an organization in the Unified State Register of Legal Entities as part of information about another legal entity no later than five working days from the date of registration of the new name of the organization.
The register authority will also independently enter into the Unified State Register of Legal Entities information about the legal successor of the discontinued organization in the information about the legal entity, the founder or participant of which is the discontinued organization, if the organization in respect of which information was entered into the Unified State Register of Legal Entities through reorganization in the form of merger/acquisition is the only one by the founder or participant of such a legal entity, or in the case of entering into the Unified State Register of Legal Entities information on the termination of the organization through reorganization in the form of transformation.
